Terms of Service

These Terms of Service ("Terms") govern your access to and use of the STOCKED mobile app, website, and supply-house portal (together, the "Service"), operated by STOCKED ("we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What STOCKED is

STOCKED is a platform that helps tradespeople find and order parts from participating local supply houses, and helps supply houses publish inventory and manage those orders. STOCKED helps you place an order with a supply house; the supply house — not STOCKED — is the seller of the parts and is responsible for pricing, availability, fulfillment, and pickup.

2. Accounts

You must provide accurate information and keep it up to date.
You are responsible for activity under your account and for keeping your login credentials secure.
You must be at least 16 years old and use the Service for lawful, trade-related purposes.

3. Orders, pricing, and pickup

Stock levels, part details, and prices shown in the Service are provided by the supply house and may change. They are estimates until confirmed by the supply house.
Placing an order through STOCKED is a request to the supply house. The supply house confirms, prepares, and fulfills the order.
Tradespeople do not pay STOCKED for parts inside the app. Any payment for parts is handled between you and the supply house under their terms.

4. Supply-house terms

If you access the Service on behalf of a supply house, you additionally agree that you are authorized to act for that business, that inventory and pricing you publish are accurate to the best of your knowledge, and that you will fulfill confirmed orders in good faith. Separate written agreements (such as a pilot or partner agreement) may also apply.

5. Acceptable use

You agree not to misuse the Service, including by: breaking the law; accessing accounts or data that are not yours; interfering with or disrupting the Service; scraping or copying data without permission; or uploading harmful or infringing content.

6. Intellectual property

The Service, including its software, design, and the STOCKED name and logo, is owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service as intended. You keep ownership of content you submit, and grant us the rights needed to operate the Service.

7. Third-party services

The Service relies on third-party providers (such as our hosting and database providers) and may link to or connect with third-party systems (such as a supply house's inventory system). We are not responsible for third-party services, and their own terms may apply.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that stock, pricing, or availability shown in the Service is accurate, complete, or current, or that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, STOCKED will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars ($100).

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and change the "Last updated" date. Your continued use of the Service after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, unless a different law is required where you live.
